General terms and conditions of the Assindia-Direkt online shop

I. Subject matter of the contract
The following terms and conditions apply exclusively to the ordering and delivery of goods that the customer orders online via online shopping and online auctions. By placing an order or submitting an auction bid, these terms and conditions are accepted.

II. Exclusive validity of the General Terms and Conditions
Within the scope of these aforementioned services, the following General Terms and Conditions apply exclusively.

III. Conclusion of the contract
1. All offers from Assindia Chemie GmbH are non-binding. The contract between the customer and Assindia Chemie GmbH is only concluded when an order is placed and accepted by Assindia Chemie GmbH. The customer places the order online by filling out the order/auction form provided on the Internet by Assindia Chemie GmbH or eBay. Assindia Chemie GmbH accepts the order by sending a confirmation to the customer by email or by delivering the ordered goods. Alternatively, an order can also be placed by telephone or fax.
2. The order is limited to commercially available quantities.

3. In cooperation with Klarna, we offer the following payment options. Payment is made to Klarna in each case:

• Klarna invoice: Payable within 14 days of the invoice date. The invoice will be issued when the goods are dispatched and sent by email. You can find the invoice terms and conditions here .

• Klarna Installment Purchase: With Klarna's financing service, you can pay for your purchase flexibly in monthly installments of at least 1/24 of the total amount (but at least EUR 6.95). IV. Delivery
1. Unless otherwise agreed, delivery will be ex warehouse of Assindia Chemie GmbH.
2. The deadlines and dates specified by Assindia Chemie GmbH are non-binding. Assindia Chemie GmbH is authorized to deliver the ordered goods to the customer as quickly as possible.
3. If the customer does not take delivery of the goods despite a deadline set for him or refuses to accept them, Assindia Chemie GmbH may, at its discretion, withdraw from the contract.

V. Retention of title
Assindia Chemie GmbH reserves ownership of the purchased goods until the customer has paid the purchase price for the goods as well as all other goods from the order in full.

VI. Set-off
The customer can only offset claims that have been legally established or are not disputed by Assindia Chemie GmbH. The customer is only entitled to a right of retention for claims arising from the same contractual relationship.

VII. Default
If the customer defaults on payments, interest of 3% above the European Central Bank's base interest rate will be charged on the outstanding amounts. The customer reserves the right to prove that Assindia Chemie GmbH has suffered little or no damage. Assindia Chemie GmbH expressly reserves the right to assert further claims.

VIII. Warranty and Liability
1. The warranty is governed by the statutory provisions, unless otherwise provided below.
2. If a defect occurs in the purchased item within the warranty period, the customer can initially only request a repair. If two attempts to repair the item fail or if the customer can no longer be expected to accept a repair, a replacement will be delivered or the purchase price will be reduced.
3. Assindia Chemie GmbH shall only be liable for material damage or financial loss which has not occurred to the purchased item itself in the event of intentional or grossly negligent conduct.
4. In cases of ordinary or simple negligence, Assindia Chemie GmbH is only liable for material and financial damages if the so-called cardinal obligations are violated. Liability is limited to foreseeable, typical contractual damages. Liability for indirect or consequential damages that are not typical of the contract is excluded.
5. To the extent that the liability of Assindia Chemie GmbH is excluded or limited, this also applies to the liability of all persons whose conduct can be attributed to Assindia Chemie GmbH.
6. Mandatory statutory liability provisions remain unaffected by the above provisions.

IX. Guarantee
In addition, all orders are subject to a warranty period for liability for material defects, as may be stated in the description text of the article. For used goods, the warranty is generally reduced to 12 months. Any transport damage discovered and all complaints must be reported in writing (fax or email) within 3 days of receipt of the goods. Telephone or verbal reports are not valid. In the case of justified complaints, we will deliver any missing items and, at our discretion, repair the goods or make a replacement delivery. In the event of a complaint within the warranty period, the buyer should please return the item to us with the original receipts attached, if possible with postage paid according to the value of the goods. The obligation to remedy a defect or to make a replacement delivery presupposes that the buyer has paid the full purchase price. Our warranty obligations expire if the goods delivered by us are handled improperly. Furthermore, any warranty provided by us expires if changes or other interventions are made by the buyer or third parties without our express consent. This warranty excludes damage caused by improper handling (e.g. impact, dropping, mixing products, etc.).

X. Right of withdrawal
Assindia Chemie GmbH grants the customer the right of cancellation in accordance with §3 Distance Selling Act in conjunction with § 361 a BGB. Right of return in accordance with §3 Distance Selling Act in conjunction with § 361 b BGB. There is no right of cancellation: for the delivery of goods that were manufactured according to customer specifications or specially ordered, for purchase contracts that were concluded through auctions (§ 156 BGB). The right of cancellation does not apply to contractual relationships outside the EU.

X a. Cancellation policy
You can revoke your contract declaration within two weeks without giving reasons in text form (e.g. letter, fax, e-mail) or by returning the item. The period begins at the earliest with receipt of this instruction. To comply with the revocation period, it is sufficient to send the revocation or the item in good time. X b. Consequences of revocation
In the event of an effective cancellation, the services received by both parties must be returned and any benefits derived (e.g. interest) must be surrendered. If you are unable to return the service received in whole or in part, or only in a deteriorated condition, you may have to pay us compensation for the loss in value. This does not apply to the surrender of goods if the deterioration of the item is solely due to its inspection, as would have been possible for you in a store, for example. In addition, you can avoid the obligation to pay compensation by not using the item as an owner and refraining from doing anything that impairs its value. Items that can be sent by parcel must be returned at our expense and risk. Exception: If you return a delivery of goods with a total order value of up to 40 euros, you must bear the cost of the return if the goods delivered correspond to those ordered. Otherwise, the return is free of charge for you. Items that cannot be sent by parcel will be picked up from you.
In any case, please contact us in advance via email so that we can briefly discuss the details of the return transport. If possible, always send returns with sufficient postage to the address above after consultation with Assindia Chemie GmbH. For returns, please use the original packaging or packaging that corresponds to our shipping packaging with the protective devices to avoid damage to the goods. If you are entitled to reimbursement of the return costs, we will transfer the corresponding amount to you immediately.

XI. Returns
The return shipment should include a copy of the invoice and, if applicable, a description of the defect.

XII. Data protection
Without your express consent, your data will only be used to process your order and will be stored on a computer system as part of the business relationship. Your data will only be passed on to companies commissioned to deliver the goods if this is necessary to process the order. Otherwise, the data will be treated as strictly confidential and will not be made available to third parties.

XIII. Place of performance, jurisdiction
For all current and future claims arising from the business relationship, including bills of exchange and check claims, the exclusive place of jurisdiction for merchants is the seller's registered office. The same place of jurisdiction applies if the buyer does not have a general place of jurisdiction in the country, moves his domicile or usual place of residence out of the country after the conclusion of the contract, or his domicile or usual place of residence is not known at the time the action is brought.
The place of jurisdiction and place of performance for registered merchants is Bottrop.

XIV. Final provisions
Should one or more provisions of these General Terms and Conditions be invalid, this does not result in the invalidity of the entire contract. The invalid provision will be replaced by the applicable statutory provision.
This contract is subject exclusively to German law.
